Governance Committee

Size: The Governance Committee shall consist of at least three and up to four members from the Governing Board which includes the Committee Chair and additionally the First Vice-Chair. In addition, the Executive Director and President shall be non-voting ex- officio members.

The Governance Committee has primary responsibility for maintaining a knowledge-based, collegial Board culture through orientation of new Board members, drafting of Board policies, advising on Board agendas and retreats, conducting Board member surveys, assessments of Board performance and Board member satisfaction. The current chair is Sue Clark.

 
Selection and term of service: Volunteers from the Governing Board shall be given first preference for membership. If more than three directors choose to be members of this committee, the Executive Committee will select the membership from a candidate list. If insufficient Directors volunteer to be part of this committee, the Executive Committee will select up to three members of the Governing Board to meet the needs of this committee. Board members may serve up to two years on this committee. Sector balance is considered necessary.
 


Removal of committee members: The Governing Board can remove and replace any members of the Governance Committee by a majority vote of the Governing Board.
 


Replacement for unexpired terms: A Director can be named to fill an interim vacancy in this Committee for the unexpired term thereof by first seeking volunteers or through selection from a slate of candidates generated by the Executive Committee.
